Terms of Service

1. Who we are

UpgradeOS Ledger ("the Service") is operated by Jiwoon Kang ("we", "us", "our"). By using the Service you ("the user") enter a binding agreement with Jiwoon Kang.

2. Acceptance

By creating an account or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service. If you are using the Service on behalf of an organization, you confirm you have authority to bind that organization. Individual users confirm they are of legal age in their jurisdiction.

3. The Service

UpgradeOS Ledger is a conversational personal-finance application that lets users record accounts, transactions, goals, and budgets, and interact with an AI assistant ("AI CFO") that helps categorize, summarize, and plan around that data.

4. Account & accurate information

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate information and to keep it up to date.

5. Acceptable use

You must not misuse the Service. In particular, you agree not to:

• use the Service for any unlawful, fraudulent, deceptive, or abusive purpose;
• infringe anyone's intellectual property, privacy, or other rights;
• interfere with the security or integrity of the Service (malware, probing, scanning, scraping, denial of service);
• attempt to reverse engineer, decompile, or circumvent technical limits;
• resell, sublicense, or redistribute the Service without our written consent.

6. AI features, prompts, and outputs

The AI CFO is a generative AI feature. You are responsible for the prompts and content you submit, for verifying the accuracy of any output, and for confirming you have the rights to any input content. You agree not to use the AI CFO to generate illegal content, deepfakes, hate speech, malware, content that infringes third-party rights, or to attempt to jailbreak or circumvent safety controls.

We retain the right to moderate, filter, or refuse outputs, to restrict or remove content, and to suspend accounts that misuse AI features. Rights-holders who believe content infringes their rights can contact us at hello@upgradeosledger.com for takedown; repeat infringers will have their accounts terminated.

Accuracy disclosure. AI outputs can be inaccurate, incomplete, or out of date. They are produced for general informational purposes only and are not a substitute for professional financial, investment, tax, legal, or accounting advice. You should independently verify anything you rely on, and consult a qualified professional for decisions that materially affect your finances.

7. No financial advice

Information surfaced by the Service — including AI CFO replies, projections, balances, budgets, suggestions, and forecasts — is provided for general and educational purposes only. It is not financial, investment, tax, or legal advice and is not a recommendation to buy or sell any asset, security, or product. All financial decisions are your own responsibility.

8. Intellectual property

We retain all rights, title, and interest in the Service, including its software, design, documentation, and branding. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service within your selected plan. You retain ownership of the data and content you submit; you grant us a limited license to host and process it solely to operate and improve the Service for you.

9. Service availability

We work hard to keep the Service available, but we do not guarantee that it will be uninterrupted, timely, secure, or error-free. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

10. Payments and subscriptions

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment terms, billing, taxes, renewals, cancellations, and refund mechanics are governed by the Paddle Checkout Buyer Terms. Subscriptions renew automatically until cancelled.

11. Refunds

Refunds are governed by our Refund Policy.

12. Suspension and termination

We may suspend or terminate access for: material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. You may stop using the Service and cancel your subscription at any time. On termination, you may export your data during a reasonable window before it is deleted or anonymized.

13. Liability

To the fullest extent permitted by law, our aggregate liability for any claim arising out of or related to the Service is limited to the fees you paid in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, consequential, special, incidental, or punitive damages, including loss of profits, revenue, data, or goodwill. Nothing in these Terms limits liability for fraud, death, or personal injury where such limitation is prohibited by law.

14. Indemnity

You agree to indemnify and hold us harmless from claims arising out of your content, your use of the Service, or your breach of these Terms.

15. Changes

We may update these Terms from time to time. Material changes will be communicated through the Service or by email. Continued use after changes take effect constitutes acceptance.

16. Governing law

These Terms are governed by the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. Disputes will be brought in the courts of Ontario, Canada, unless local law requires otherwise.
